Terms of Service

Last updated: September 2026

Plain-language summary of how Vendeal works. Questions about these terms, or need a signed agreement for your organization? Contact us.

1. Acceptance of terms

By creating an account or otherwise using Vendeal, you agree to these Terms of Service. If you’re accepting on behalf of an organization, you’re representing that you have authority to bind that organization.

2. What Vendeal is

Vendeal is an operations platform for vendors selling into automotive dealerships: catalog, purchase orders, invoicing, and payments, paired with a free procurement and AP review portal for the dealerships that buy from them.

3. Accounts

You’re responsible for the accuracy of the information you provide and for activity that happens under your account. Notify us promptly if you believe your account has been compromised.

4. Fees and payment

Vendor and manufacturer/underwriter plans are billed per the tier you select. Payments and payouts processed through Vendeal’s Stripe integration carry Vendeal’s own platform fee, disclosed at the applicable rate for your plan, on top of every Stripe fee, which you pay at cost (including processing, payout, Instant Pay, dispute and connected-account fees). Vendeal does not pay Stripe’s fees on your behalf; where Stripe bills Vendeal for a fee that belongs to you, Vendeal recovers the same amount from you, including by deducting it from your later payments, and does not mark it up. Manual check/ACH settled outside Vendeal’s payment rails carries neither fee. Dealership access to browse, order, and review invoices is free.

5. Vendor and dealership responsibilities

Vendors are responsible for the accuracy of their own catalog, pricing, and invoices. Dealerships are responsible for timely review of invoices routed to them and for the accuracy of approve/hold/dispute decisions made under their account.

6. Acceptable use

You won’t use Vendeal to submit fraudulent invoices or purchase orders, to misrepresent your organization’s identity, or to interfere with the platform’s normal operation.

7. Intellectual property

Vendeal retains all rights to the platform itself. You retain rights to the catalog, contact, and transaction data you put into it.

8. Termination

Either party may terminate an account per the terms of the applicable plan. On termination, outstanding invoices and purchase orders remain payable under their original terms.

9. Disclaimers and limitation of liability

Vendeal is provided “as is.” To the extent permitted by law, Vendeal is not liable for indirect, incidental, or consequential damages arising from use of the platform.

10. Changes to these terms

We’ll post updates here and, for material changes, notify account owners directly.
